Purpose

The purpose of every position is to assist in fulfilling our credit union’s five organizational values to “transform lives and communities together.”



Position Summary

In-House Legal Counsel coordinates, advises and oversees most legal aspects of the credit union. Conducts regular contract and statement of work (SOW) review and analysis. Ensures clarity, mitigates potential conflict, identified discrepancies, and contributes to the negotiation of acceptable contract terms. Researches and analyzes laws and regulations and provides legal and compliance reviews and advice. Provides legal/compliance project support. Manages legal matters as in-house counsel for the credit union, as well as oversees and manages exteranl legal counsel engagements. Represents the credit union in legal matters.



Primary Duties & Responsibilities

1. Serves as the legal counsel for reviewing contracts, agreements and statements-of-work for the credit union. Reviews, drafts and negotiates a wide range of contracts including vendor/service and member agreements. Ensures contract compliance with relevant laws/regulations and with the credit union’s organizational policies, interests and strategic initiatives.
2. Manages legal matters not submitted to outside counsel. Provides day-to-day legal support and guidance across the credit union.
3. Manages external counsel relationships related to legal matters for the credit union. Serves as the primary liaison for matters requiring outside specialized legal expertise. Ensures the scope of work, work quality, budget and timeline meet stated credit union objectives.
4. Completes legal and compliance reviews of business processes, policies, procedures, disclosures, and agreements. Provides relevant legal counsel/advice to ensure ongoing compliance.
5. Provides legal/compliance project support. Advises leadership and stakeholders regarding legal matters and stays informed of relevant laws/regulations. Develops and maintains legal documentation.
6. Participates in the evaluation and assessment of vendor risks from a legal and compliance perspective. Ensures vendor agreements include appropriate legal protections and compliance requirements. Collaborates with risk management teams to advise on effective vendor risk strategies from a legal perspective.

Requirements - Education & Experience 
1. Juris Doctorate from an accredited law school, and active membership in good standing
with Oregon and/or Washington State Bar Association.
2. Minimum three years’ experience reviewing contracts and legal documents in the 
business sector. Financial services industry experience preferred
3. Strong leadership and management skills and the ability to develop effective strategies. 
Ability to navigate team dynamics, delegate appropriately and create accountability.
4. Proven expertise in contract and business agreement review.
5. Comprehensive knowledge and understanding of the financial institution industry 
including business processes, operations and products.
6. Expert knowledge of local, state and federal laws and regulations as they apply to 
financial institutions.
7. Exceptional team-building and interpersonal skills.
8. Ability to partner cross-functionally with other teams and stakeholders.
9. Self-motivated and able to work independently, while also being a leader in a team-based environment.
10. Sound judgment, the ability to pay close attention to detail and effective problem-solving abilities.
11. Professional written and verbal communication skills, with the ability to make 
presentations to larger groups.
12. Proficiency in the use of Microsoft Office software
