We are currently partnering with a Global Investment Manager seeking to add a Senior Tax Counsel with extensive private equity experience to their rapidly growing legal department to perform tax review as well as negotiations for fund investments.
Responsibilities:
Review and negotiate tax provisions within fund agreements and side letters to ensure favorable terms
Assess fund structures and tax documents to determine the most advantageous investment options for clients, considering their tax situations
Conduct thorough tax due diligence on potential investments by analyzing tax effects and investment frameworks, liaising with sponsors and coordinating with relationship managers as needed
Provide expert guidance to team members on tax-related matters and risks within fund agreements and side letters, offering practical and precise recommendations
Work closely with legal experts, investment professionals, business units, clients, private equity sponsors and their advisors, and other relevant stakeholders to discuss and refine investments
Requirements:
Juris Doctor a top-tier law school
Minimum 3 years experience at a law firm or a relevant in-house position
Master's in taxation, Tax LLM, and international tax experience is strongly preferred
Hybrid work model requiring 4 days a week on-site in Philadelphia, PA headquarters
