The M&A Manager position with EdgeCo Holdings is a newly established role that will have direct exposure to EdgeCo's senior management and is critical to executing the company's growth strategies. The M&A Manager will lead the day-to-day activities related to mergers and acquisitions, overseeing transactions, managing the M&A team, and supporting corporate development initiatives.
Location: Ideal candidates will be located in Pittsburgh, PA and work in a hybrid capacity. Candidates from Stamford, CT may also be considered.
Responsibilities:
Manage, mentor, and continue to develop the M&A team, fostering growth and ensuring high performance.
Lead the execution of M&A transactions, including due diligence, financial modeling, deal structuring, and coordination with internal teams and external stakeholders (advisors, legal counsel, target companies).
Work directly and collaboratively with counterparties and their advisors, ensuring effective communication, negotiations, and coordination.
Provide detailed oversight and analysis of deal documentation including term sheets, LOIs, purchase agreements, and related transaction documents.
Manage the tracking of the firm's expanding M&A pipeline, ensuring alignment with corporate goals.
Manage post-transaction KPIs such as synergies and any contractual purchase price adjustments including working capital, contingent payments, and earnouts.
Direct the M&A team in developing detailed financial analyses to support the evaluation of opportunities, including standalone target valuation, synergy assessments, deal structuring alternatives, IRR, and proforma financial impacts.
Supervise the creation of presentations and investment materials for the executive leadership, the Board of Directors, the investment committee, and the lending group.
Present key transaction updates and recommendations to senior management and the investment committee.
Work closely with the SVP and senior leadership on ad hoc strategic projects as needed.
Skills & Experience:
Undergraduate degree in Business, Finance, or a related field.
Master's degree or MBA is strongly preferred.
A minimum of 8+ years of relevant work experience in investment banking, private equity, M&A consulting, and/or corporate finance.
Confident self-starter, with the competence and experience to work directly with executives and senior management.
Proven leadership experience in managing and mentoring junior team members.
Extensive experience in executing all aspects of M&A transactions across multiple industries.
Very strong analytical, strategic thinking and decision-making skills, with a keen understanding of financial statements and forecasting.
Expertise in financial modeling, due diligence, and deal structuring within the M&A process.
Demonstrated experience in company valuations and financial analysis.
Highly organized with strong attention to detail, able to deliver results in a fast-paced, evolving environment.
Excellent interpersonal and communication skills, with the ability to collaborate effectively across teams.
Advanced proficiency in Excel (complex financial modeling) and PowerPoint.
Prior experience in the financial services sector, specifically in asset/wealth management (RIA), is a plus.
