Job Summary
The VP & Corporate Secretary will assist the Board of Directors and its Committees to fulfil its fiduciary role. This position will manage the company’s corporate governance framework and ensure compliance with governance procedures and regulations. The incumbent will have significant SEC oversight experience either obtained at a major law firm or as in-house counsel. This role will report directly to the Chief Legal Officer.Job Description
MAJOR RESPONSIBILITIES:
Corporate Governance: Ensures the company complies with legal and regulatory requirements, advising the board on their responsibilities, and helping to develop and implement corporate governance policies and procedures.
Compliance: Certifies company’s compliance with relevant laws, regulations, listing standards, and internal corporate policies. Monitors legislative changes and updates the board on any potential impacts to the company. Oversees and ensures SEC filings, including current reports, periodic reports, proxy statements, and Section 16 reports are completed accurately and filed in a timely manner.
Board Support: Assists in the calendaring of board meetings, setting meeting agendas, preparing meeting materials, and ensuring all necessary documents are available to board members. Responsible for leading and managing director orientation, new director onboarding and training. Administers process for board of director evaluations, director and officer questionnaires, and other director compliance or governance matters.
Governance and Disclosure Oversight: Monitors changes and/or new SEC rulemaking relevant to the company’s disclosures. Counsels and advises the business on complex legal issues that relate to governance, SEC requirements, ESG, proxy advisory firm expectations and scores.
Recordkeeping: Records meeting minutes and accurately documents board’s actions and decisions. Maintains key corporate documents and records.
Management Liaison: Serves as a liaison between the board and management. Acts to communicate and implement board’s decisions company wide. Serve as the legal department’s business partner to the Company’s Finance & Accounting, Treasury, Investor Relations, and Communications functions. Assists compensation team with administration of the Company’s equity plans and provide guidance to the organization on plan and program design.
Vendor Management: Manages relationship with relevant vendors such as board portal software system and reporting compliance software.
Capital Markets. Advise on capital markets transactions (debt, equity financing, follow-on equity offerings) as well as other strategic transactions, including M&A opportunities.
Shareholder Engagement. Assist Investor Relations team with shareholder engagement initiatives, coordinate proxy statement and annual shareholder meeting process, and otherwise ensure that shareholder relations are managed smoothly.
MINIMUM JOB REQUIREMENTS:
Education:
Juris Doctorate degree from an accredited U.S. law school, with strong academic credentials
Certification / Licensure:
Active admission in good standing of the bar in at least one U.S. jurisdiction
Work Experience:
15-20 years of professional experience in corporate and securities law obtained in major law firms and/or in house
Knowledge / Skills / Abilities:
Capable of managing multiple, wide-ranging matters under tight deadlines; strong planning and organizational skills
Demonstrates highest level of integrity, legal judgment and business acumen
Process-driven, exceptional attention to detail and accuracy in documentation and record keeping
Strong knowledge of corporate governance principles, regulations and best practices
Presents ideas to important constituencies; excellent writing and verbal presentation skills
Proven track record of leadership, taking decisive action, and explaining complex legal issues in a straightforward manner
Significant executive experience and overall credibility as a senior lawyer and trusted business advisor
Strong interpersonal skills and the ability to work collaboratively in a team-oriented environment
