Our client, a distinguished law firm, is actively seeking a dedicated and experienced Private Funds & Investment Associate to join their team.
The successful candidate will work closely with General Partners (GPs), Limited Partners (LPs), and across the private funds sector, providing a full suite of services that meet the dynamic needs of this industry.

Focus:
Lead fund and management structuring projects, including side letter negotiations and secondary market transactions involving LP fund stakes.
Provide expertise on GP-led fund restructurings.
Provide expert advice on the registration requirements under the Investment Advisers Act and ensure adherence to regulatory frameworks, such as the Securities Act, for private funds.
Draft sophisticated documents, ensuring accuracy and alignment with client objectives and industry standards.
Work in collaboration with internal legal teams and external clients, managing complex, multi-faceted transactions.
Participate in client meetings and discussions, providing strategic advice and insights related to fund formation and investment management matters.
Skill Set:
2-4 years of proven experience in fund formation and investment management is required
Must hold a JD from an ABA-approved law school and be in good standing as an active member of the Bar in the jurisdiction(s) admitted to practice.
In-depth understanding of the Securities Act concerning private investment funds, along with experience in Investment Advisers Act registration and compliance
Excellent document drafting skills and the ability to manage complex legal projects effectively.
Proven track record of working effectively in a team setting, demonstrating strong interpersonal skills and a proactive, positive attitude.
