Job Summary

Self-starter who executes corporate objectives and threads them into agendas for high profile and executive meetings, including Board of Directors meetings (3/year), Board Committee meetings, Executive Advisory Board meetings, and high level executive leadership team meetings. Develops executive presentations, informational papers, fact sheets, and correspondence to communicate operational objectives, performance expectations, project deliverables, and deadlines/timeframes. Responsible for Board and Committee meeting management and administration, and proactively building Board member engagement. Works with Legal to oversee Board governance requirements. Works with Communications to customize Board and Committee member updates and determine ways to build Board engagement. Successfully plans and executes TriWest's shareholder and committee meetings including material management such as coordination of agenda reviews with the appropriate owner/Chair and materials, coordination, editing and posting of materials, and taking minutes. Interfaces with President and CEO, SVP of Investor Relations, Communications and Management Support, the Executive Assistant to the President and CEO, and General Counsel regarding Board and Committee meeting agendas and materials and approvals.

Leads on-site Board meeting content support team, responsible for Board and Committee meeting minutes and management; manages written communications and highly-sensitive documents related to the Board of Directors and Committee meetings. Utilizes proactive planning, organizational, presentation development, editing, and writing skills. Engages in strategic planning of future Board and Committee meetings and shareholder events to ensure their success.

Education & Experience

Required:

• Bachelor's degree in Communications, Business Administration, Healthcare Administration or related field
• 10+ years Board/Executive meeting management and/or governance experience, with the majority of time working in a large sized corporation and their executive leadership
• 10+ years extensive experience in written and oral communications to include business editing skills and presentation development
• Experience in project management, process improvement, and business and operational planning a plus
• Proven record of being extremely detail oriented and proficient in managing multiple projects and critical timelines simultaneously

Preferred:

• Master's degree in Communications, Business Administration, Healthcare Administration or related field
• Diligent BoardBook application experience

Key Responsibilities

• Works closely with leaders in the company to proactively prepare documents, including draft agendas, for executive leadership meetings.
• Tracks action items from executive meetings; tracks and follows up with leaders on due outs.
• Manages against annual calendar to prepare for Board and leadership meetings, including timeline of materials and working cross functionally with areas to inform of their deliverables, review, send back for rework, etc., to ensure materials are in alignment with meeting agenda and purpose.
• Tracks receipt of deliverables across the enterprise. Ensures all materials are edited by the due date, and in standardized templates for Board and executive meetings.
• Creates content for written customized monthly Board and Committee member updates. Works closely with VP, Communications and Creative Services to creatively deliver content to Board and Committee members.
• Conducts Board meeting management including creating and posting documents to shareholder portal, preparing draft Board agendas, taking minutes at meetings, editing documents, tracking meeting action items and following up with appropriate individuals. Takes minutes of the Board and Committee meetings, and routes them for business owner review and approval.

• Helps plan and execute Board of Directors and formal Board Committee and Executive Advisory Board Meetings; organizes content team to support on day-of meetings.
• Proposes agenda ideas and coordinates reviews and approvals on materials by interfacing with President and CEO, SVP of Investor Relations, Communications and Management Support, and other high-level leadership at TriWest as needed.
• Maintains repository for shareholders of highly-sensitive financial statements for TriWest and is entrusted with confidential documents and materials; upholds discretion while working with executives.
• Travels to meeting locations and leads on-site materials support team, including taking minutes, preparing Chair notes, and interfacing with high-level executives including CEOs from TriWest's stockholders to create a successful meeting experience for all participants.
• Proactive; requires minimal supervision; models effective leadership skills; communicates effectively with other team members.
• Collaborates with business units to gather appropriate content for meeting materials and assists as needed with presentation and written update development.
• Detail driven; edit materials.
• Performs other duties as assigned.
• Regular and reliable attendance is required.

Working Conditions:

• Must be available to cover any work shift
• Works within an office environment, with moderate travel required a minimum of four times per year
• Extensive computer work, with prolonged sitting
• Works within a hybrid work environment
