Job Overview:

We are seeking an experienced Vice President, Senior Counsel & Compliance to oversee and guide all aspects of corporate transactional law and compliance for our organization. The ideal candidate will be skilled in structuring, negotiating, and executing corporate and commercial contracts and must have a strong background in areas such as structured finance, leasing, corporate, M&A activities, ethics, and compliance preferably within the aviation sector.

Responsibilities:
  • Negotiate, Organize, review, and draft commercial agreements/contracts for multiple departments including sales, supply and customer sides of the business.
  • Maintain contract templates and prepare updates as required to meet the business needs.
  • Develop and enforce a code of conduct and ethics program for the organization.
  • Advise on employment-related matters, including contracts, terminations, discrimination claims, and labor law compliance.
  • Interpret and ensure compliance with applicable laws, regulations, and industry standards.
  • Conduct training programs and educate employees and management on legal and compliance issues.
  • Oversee data protection and privacy compliance efforts and other applicable regulations.
  • Handle corporate matters involving general terms and conditions of trade, commercial contracting, and corporate governance.
  • Develop and manage structured finance projects including fuel farm operations, equipment leasing, and loan agreements.
  • Provide legal oversight and strategic guidance on mergers and acquisitions.
  • Collaborate with external counsel to ensure that all corporate practices comply with statutory requirements and ethical standards.
  • Work closely with regional leaders, sales teams, and supply chain leaders to align legal strategies with business objectives.
  • Advise the executive team on legal risks and opportunities related to business strategies and operations.
  • Lead the legal aspect of the company's awards programs and fuel programs, ensuring compliance and strategic alignment with business goals.

Requirements:
  • Juris Doctorate from an accredited law school.
  • Admission to practice law in the relevant jurisdiction.
  • A minimum of 10 years of corporate law experience, ideally in the aviation sector, preferably with FBO operations.
  • Experience in compliance and risk management.
  • Proven experience in structured finance, commercial contracts, and corporate governance.
  • Prior exposure to merger and acquisition transactions.
  • Exceptional ability to communicate and negotiate effectively with both internal and external stakeholders.
  • Strong leadership skills and the ability to operate independently.
  • Strategic thinker with attention to detail and the capacity to manage multiple priorities and complex legal issues.
  • No travel required.
