DUTIES AND RESPONSIBILITIES:

Provide day-to-day legal advice and guidance to Vitalant and its related entities on a wide range of employment and labor law such as compliance, employee relations, investigations, labor law, employee benefits, and other corporate practices. E Represents Vitalant and its related entities in managing claims, administrative charges, litigation, arbitration, and supervising outside counsel, and establishes defense and indemnity reserves for insured matters.

Perform legal research and analysis on employment and labor law issues, including compliance with federal, state, and local laws and regulations.

Represents Vitalant and its related entities in negotiating and drafting a wide variety of complex commercial contracts, preparing wide range of legal documents, including, but not limited to, legal memoranda, transactional documents, and responses to legal inquiries from regulatory and governmental authorities.

Prepares document templates for recurrent use; standardizes contracts and forms and drafts legal documents unique to specific needs of Vitalant and its related entities.

Establishes policy and maintains system for developing, tracking and archiving legal documents.

Possesses a fundamental knowledge of major federal and state laws relating to transfusion medicine, clinical research and other healthcare operations, including, but not limited to, FDA regulations, privacy and security, fraud and abuse, government contracting, labor and employment, and laws relating to tax-exempt organizations.

Advises the management of Vitalant and its related entities on corporate and regulatory compliance matters and provides assistance with education and implementation of policies and procedures for compliance, employee guidance, and other topics relevant to the operations.

Researches legal issues, identifies alternative courses of action and associated legal risks, and makes recommendations. Maintains current knowledge of industry and related legal/regulatory developments and communicates relevant information, as appropriate, to internal clients and the legal team.

Assists in the management of claims and litigation, including preparation of appropriate notices, pleadings, and discovery responses, leading document management, identifying, tracking and extracting information from electronic (eDiscovery) and non-electronic data sources, and working with all levels of staff to preserve information and documentation, ensuring the maintenance of accurate litigation files, and making recommendations regarding defense strategy.

Triages requests for legal assistance. Provides timely and succinct legal analysis, advice, and counsel to senior management and, as appropriate, to other employees, on a wide range of legal issues affecting blood services, biotherapies, clinical laboratory, pharmaceutical distribution, and clinical research operations.

Analyzes and/or drafts contracts and other legal documents for regulatory compliance and risk management. Acts as clearinghouse for official notices and develops process for responding to subpoenas or other regulatory or governmental inquiries.

Analyzes and provides advice concerning potential and actual administrative charges, claims and/or litigation, including but not limited to commercial disputes, personal injury, employment, labor, workers' compensation, bankruptcy, real estate, and intellectual property, and assists operations to identify and assess potential risks and mitigating activities.

Requirements

Knowledge/ Education

Juris Doctor from an ABA accredited College of Law required.

Working knowledge of federal, multi-state, and local regulations pertaining to transfusion related or general health care services preferred.

Licenses/ Certifications

A license to practice law or be registered as in-house counsel in the State of Arizona required.

Experience

Six (6) years' experience of providing employment-related advice/guidance and managing/litigating employment-related disputes in a law firm and/or in-house legal department required.

In-depth experience in U.S. employment laws and regulations, such as Title VII, ADA, ADEA, OWBPA, FMLA, FLSA, NLRA and EEO required.

Three years of experience working successfully with hospitals, health systems, laboratory and/or blood, biotherapies, pharmaceutical or medical device manufacturer or distributor with a multi-state footprint preferred.

Experience with California employment laws and regulations, including wage and hour preferred.

Clinical research or health care regulatory experience preferred.

Experience working in an in-house corporate environment preferred.

Able to organize, prioritize, and efficiently execute a variable workload and multiple priorities.

Ability to evaluate multiple business objectives across the system and analyze large risks in light of business goals.

Functions at a skill level, knowledge and judgment that permits independent action, subject to oversight by EVP, Chief Legal Officer, General Counsel.

Ability to travel, as needed.
