Job Summary:

The TSA Manager is responsible for ensuring smooth transitions during mergers, acquisitions, and divestitures by managing and overseeing all aspects of transition services agreements (TSAs).

Principal Duties and Responsibilities:

TSA Development and Management and Exit Planning (70% of time):

  • Develop, negotiate, and manage transition services agreements to ensure seamless integration or separation of business units within contractually agreed timeframes.

  • Collaborate with legal, finance, IT, HR, and other relevant departments to define the scope, terms, and conditions of TSAs.

  • Ensure compliance with all regulatory requirements, company policies, and contractual agreements.

  • Review invoicing and ensure TSA owner sign off on TSA service and deliverables. Work with finance to ensure alignment to TSA budget.

Project Management (10% of time):

  • Lead and coordinate cross-functional teams to execute TSA-related projects.

  • Develop detailed project plans, timelines, and budgets.

  • Monitor progress, identify risks, and implement mitigation strategies to ensure timely and successful completion of projects.

Stakeholder Communication (5% of time):

  • Serve as the primary point of contact for all TSA-related matters.

  • Communicate effectively with internal and external stakeholders, including senior leadership, to provide updates and address any issues.

  • Facilitate regular meetings and status reports to ensure alignment and transparency.

Performance Monitoring (10% of time):

  • Establish and track key performance indicators (KPIs) to measure the effectiveness of TSAs.

  • Conduct regular reviews and audits to ensure compliance and identify areas for improvement.

  • Provide recommendations for optimizing TSA processes and achieving operational efficiencies.

Continuous Improvement (5% of time):

  • Stay abreast of industry trends and best practices in M&A and TSA management.

  • Implement continuous improvement initiatives to enhance the effectiveness and efficiency of TSA processes.

  • Provide training and support to team members and stakeholders on TSA-related topics.

Knowledge, Skills and Abilities:

  • Strong strategic thinker, adept at analyzing situations, anticipating needs and making informed decisions that drive value for the company.

  • Excellent project management skills with a track record of successfully leading cross functional teams.

  • A deep understanding of Merger and Acquisition processes, regulatory requirements and industry best practices.

  • Success in working in a fast-paced, dynamic environment, managing multiple priorities.

Job Specifications:

  • Required education: Bachelor’s degree in Business Administration, Finance, Law or a related field.

  • Preferred education: MBA or Advanced Degree specializing in Finance, Strategic Management, or a related discipline.

  • Required experience: 3+ years’ experience in mergers and acquisitions related fields, including transition office and experience with external organizational partnerships.

  • Preferred experience: +5 years’ experience in managing transition services agreements in the context of mergers and acquisitions.

  • Required professional licensure or certification: N/A

  • Preferred professional licensure or certification: Project Management Professional (PMP), Chartered Financial Analyst (CFA), or Mergers & Acquisitions Professional (M&AP)

Location:

Employees in this role are eligible for fully remote work (other than periodic in-person meetings or other periodic business travel).

Travel Requirements:

Occasional travel only (such as for planning purposes, team-building, or conferences) may be required.

Please note - the salary range for this role is listed below. In addition to salary, our package includes incentive plan participation and comprehensive benefits including medical, dental, vision and retirement benefits, as well as an initial PTO accrual of 164 hours per year. Employees also receive 11 paid holidays and 2 wellness days per year.

  • Eligibility to participate in an incentive program is subject to the rules governing the program and plan. Any award depends on various factors, including individual and organizational performance.

Salary Range:

$104,750.00 - $153,500.00
