Our client's top-tier, nationally recognised Corporate/Securities Group is seeking a talented and experienced Corporate Partner to join their New York office. The firm specialises in delivering high-value results on high-stakes transactions for a diverse range of public and private companies, investors, and underwriters. Responsibilities:
Lead and manage all aspects of corporate transactions, including mergers and acquisitions, divestitures, restructurings, and financings.
Advise public and private companies, boards of directors, investors, venture capitalists, and private equity sponsors on corporate governance, compliance, and disclosure matters.
Negotiate and structure IPOs, SPACs, private placements, credit facilities, debt offerings, and joint ventures.
Collaborate with the firm's integrated teams, including Tax, Real Estate, Employment, Bankruptcy, and IP, to address complex transaction issues.
Assist clients in resolving high-stakes disputes, working alongside a powerhouse litigation team when necessary.
Qualifications:
Juris Doctor (JD) from an accredited law school and active New York Bar membership.
Extensive experience in corporate and securities law, with significant experience in M&A, corporate governance, and capital markets.
Demonstrated ability to manage complex transactions from start to finish, including drafting and negotiating agreements.
Strong understanding of securities laws, compliance regulations, and corporate governance practices.
Exceptional client management skills and a proven ability to build and maintain strong business relationships.
