Position Overview:
The Director of Debt Compliance and Equity is responsible for the management and oversight of AlphaGen's debt complex as well as employee equity programs. The Debt Compliance responsibility includes working closely with internal and external stakeholders, including lenders, investors, and regulatory bodies, ensuring financial integrity and compliance with debt covenants and financing agreements. The Director will also work with HR and AlphaGen's controller on management of employee equity plans, including maintenance of vesting schedules, distributions and all related communications.
Role and Key Responsibilities:
Manage all aspects of debt compliance, ensuring adherence to covenants, reporting requirements, and regulatory obligations.
Monitor and analyze AlphaGen's debt structure, identifying opportunities for refinancing or restructuring to optimize capital costs.
Oversee the preparation of reports and documentation required by lenders, credit rating agencies, and other financial institutions.
Maintain relationships with banks, bondholders, and other lenders, facilitating regular communications and updates on financial performance.
Partner with risk to assess and mitigate any potential risks associated with AlphaGen's debt portfolio, including interest rate, currency, and credit risks.
Ensure that debt strategy aligns with overall corporate risk management frameworks.
Establish contingencies to address potential breaches of debt covenants or fluctuations in equity markets.
Work closely with accounting and HR to maintain equity cap table for all employee equity programs, including vesting schedules and distributions
Build quarterly equity program framework including relevant reporting and communications Work cross-functionally with AlphaGen's legal, finance, commercial, risk, and treasury teams to support major initiatives, including acquisitions, divestitures, and large-scale capital projects.
Professional and Educational Requirements:
A minimum of 10 years of experience in finance with a focus on debt compliance, equity program management, and capital markets (preferably within the power generation or oil & gas industries).
Extensive experience in power generation, utilities, or energy sectors preferred.
Proven track record of managing large-scale debt portfolios.
Strong understanding of financial instruments, capital markets, and regulatory environments.
Exceptional analytical and financial modeling skills, with a strategic mindset.
Excellent leadership and team management capabilities.
Strong communication and negotiation skills, with the ability to interact effectively with senior management, investors, and external partners.
Strong attention to detail and accuracy in financial reporting.
Ability to manage multiple priorities and deadlines in a fast-paced environment.
Strategic thinking with the ability to implement operational plans.
Bachelor's degree in Finance, Accounting, Economics, or a related field. MBA, CPA, or CFA will be given preference.
