Our client is seeking a Director for their Alternative Investments Onboarding team who will be responsible for Contract Review for their Private Placements Group
You will be an expert in private market investments contracts with a focus on co-invest and direct offering opportunities on behalf of Private Wealth Clients.
You will use your extensive knowledge to drive referral agreement negotiations and support the broader private markets platform by reviewing and coordinating service and distribution agreements for funds offerings
Your role:
Work with Legal, origination, investment research, and operational due diligence teams to negotiate distribution and referral agreements.
Support a structured approach to launch new offerings with other areas that source and underwrite opportunities
Manage and coordinate operationalizing and launching of co-invest and direct offerings.
Coordinate and work closely with legal and external attorneys preparing comments, providing guidance to resolve issues on distribution, service, and referral agreements.
Research, compile information, and assist with preparation of responses to regulatory authorities.
Assist with FINRA regulatory filing 5130 and documenting exemptions as applicable.
Qualifications
7+ years of experience in the financial services, legal, or consulting industry, with financial markets and products, including private markets products.
Experience with Legal agreement drafting and negotiation.
Strong knowledge of relevant FINRA/SEC rules and regulations.
Exceptional and concise verbal and written communication skills
Ability to read and interpret complex legal documents such as private placement memorandums, limited partnership agreements, and selling agreements.
MBA or Master's Degree in a related field with
A Legal background is not required though a plus, but familiarity with legal documents and experience in document review and negotiation is important.
