The Manager Corporate Governance is an integral part of the Securities and Corporate Governance team within the UNFI Legal Department, providing hands on legal and strategic support to the Company, primarily to assist with general corporate matters, the preparation/distribution of Board materials and SEC filings.
Responsibilities:
Maintain filings and records for the Company's various corporate entities.
Draft organizational documents, merger agreements and certificates of merger relating to organizational restructurings.
Collaborate with UNFI's Securities Counsel, Deputy General Counsel, Corporate Secretary, and others on the management of Board of Director and Committee meetings and materials related thereto.
Collaborate with the legal team on general corporate matters, including assisting with drafting Board and Committee minutes, resolutions and other Board and governance related documents and materials.
Upload Board and Committee materials through Diligent website.
Assist with the drafting of proxy statements and support of the filing of other securities filings, including Section 16 filings.
Job Requirements: Education/ Certifications:
Excellent academic credentials, including a bachelor's degree.
Paralegal certificate preferred.
Experience/Knowledge/Skills/ Abilities:
5+ years of experience acquired in an AmLaw 100 firm and/or a well-respected in-house environment.
Command of Diligent for Board Books, Microsoft Office Suite, including Excel and PowerPoint, and HCue
Technical sufficiency and ability to master new electronic applications quickly.
Ability to manage multiple workstreams simultaneously.
Ability to take ownership of areas of oversight and proactively raise issues and propose solutions, including with business partners.
Excellent communication skills, written and verbal.
Must be a team player with a positive attitude, willing to jump in and help wherever needed on projects.
Must also be a quick learner with strong internal motivation and possess initiative, integrity, and resilience.
