The Opportunity


  • Coordinate Board and workgroup meetings including drafting agendas, collection of materials, presentations, and other planning logistics including travel, transportation, and catering.
  • Administer policy-monitoring schedule and assist the Chief Executive Officer with preparation and completion of monitoring reports. This includes working with content contributors to collect information for reporting to the Board of Directors and summarizing past meeting content per the governance policy monitoring cycle.
  • Work with Chief Legal Counsel and/or designee to review and facilitate the CEO, Chair, and Board of Directors annual evaluation process and timeline.
  • Develop and coordinate new Board Member orientation and onboarding process.
  • Compose accurate and detailed minutes for all Board and workgroup meetings in accordance with established and accepted standards. This includes maintaining an accurate and up-to-date action item and motions lists.
  • Oversee Board and Operational Policies for accuracy, updates, and Board approval.
  • Manage and facilitate Board Corner content on Vituity Community including posting approved Board Talking Points and other relevant "governance" articles and communications.
  • Manage and facilitate Board Chair and Board Member outreach and communications to the Partnership. This includes content coordination with Marketing to ensure message alignment between the Board and Leadership as well as various logistics in setting up site visits (in person and/or virtual), dinners, live chats, or other outreach efforts.
  • Monitor Board and workgroup meeting attendance for stipend allocations.
  • Manage and maintain accurate and confidential information for the Board of Directors via the online Board portal. This includes oversight of access permissions to the Board portal.
  • Assist coordinating the annual Governance Retreat, which may include agenda development, scheduling interviews on strategic topics of interest, alignment of communications between the Board Chair, CEO, and Retreat Facilitator(s), coordination of meeting information, presentations, and other logistics with Meetings & Events.
  • Assist and advise the Board Chair regarding responsibilities, including but not limited to, appearances at meetings and events, presentation preparation, calendar management, travel, expense reports, and other requests, as necessary.
  • Prepare a Board Chair checklist for each Board Meeting to summarize agenda, action items, announcements, and other updates that require Board decision and/or discussion.
  • Work with the Board Chair, Chief Legal Counsel, and Director to draft a Board Annual Plan to outline Chair and Board priorities for the following year to include identification of educational opportunities, Board advisor needs, and other considerations for the next planning cycle.

Required Experience and Competencies


  • Three (3) years of work experience supporting a Board of Directors and/or providing executive level support.
  • College degree preferred.
  • Advanced organizational and project management skills.
  • High level of precision and attention to detail.
  • Ability to manage multiple tasks/requests with varying priorities.
  • Ability to be flexible to adjust to changing circumstances.
  • Excellent communication skills both verbal and written.
  • Ability to write accurate and concise minutes.
  • Excellent customer service skills.
  • Ability to interact in a courteous and professional demeanor with multiple executives and stakeholders.
  • Ability to use good judgment to resolve problems and make recommendations.

We are excited to share the base salary range for this position is $31.24 - $39.05, exclusive of fringe benefits or potential bonuses. This position is also eligible to participate in our annual corporate Success Sharing bonus program, which is based on the company's annual performance. If you are hired at Vituity, your final base salary compensation will be determined based on factors such as skills, education, and/or experience.
