Responsibilities:
Provide strategic legal counsel on a wide range of corporate and securities matters, including general business operations, governance, and regulatory compliance.
Lead domestic and international transactions, including mergers and acquisitions, institutional investment fund formations, and initial public offerings.
Advise on executive compensation, employee benefits, and complex corporate governance issues.
Represent and counsel clients across diverse industries, including officers, boards of directors, and special board committees.
Foster long-term client relationships by offering proactive legal strategies tailored to their specific business goals.
Qualifications:
A Juris Doctor (JD) degree and active membership in the California State Bar.
Extensive experience in Corporate & Securities law, including a successful track record with complex transactions.
Demonstrated ability to counsel clients on governance, compliance, and business strategy.
Strong leadership and interpersonal skills, with a commitment to mentoring junior attorneys and contributing to a collaborative team environment.
