A leading construction company specializing in power generation, industrial projects, and pipeline development is seeking to expand their legal team with a highly skilled and experienced Commercial Counsel. As part of the legal team, the successful candidate will provide legal support for a wide range of commercial agreements, including construction, Engineering, Procurement, and Construction (EPC) contracts, service agreements, and M&A transactions within the construction sector.
This is a full-time, on-site position based in Houston, Texas, offering the opportunity to work directly with internal stakeholders and external partners in a dynamic, fast-paced environment.
The Commercial Counsel will:
Draft, review, and negotiate a variety of commercial contracts, including construction agreements, EPC contracts, service agreements, and project-related documents.
Provide legal counsel on matters related to mergers and acquisitions (M&A) in the construction and infrastructure space.
Advise business leaders and project teams on legal and risk mitigation strategies in the development and execution of construction projects, particularly within power generation, industrial, and pipeline sectors.
Review and advise on insurance, bonding, and indemnity provisions within project agreements.
Support the team in structuring complex commercial deals and navigate challenges unique to the construction industry.
The Commercial Counsel must have:
J.D. (Juris Doctor) from an accredited law school and active bar membership in good standing.
5+ years of experience as a commercial contracts attorney, ideally with a focus on construction, EPC, service contracts, and M&A transactions within the construction and infrastructure sectors.
In-depth knowledge of construction law, including project development, risk management, procurement, and dispute resolution.
Experience with M&A transactions within the construction or industrial sectors, including due diligence and contract negotiation.
