Key Job Responsibilities



  • Draft corporate resolutions related to entity compliance matters (e.g., changing director and officers, approving financial statements, approving internal corporate agreements and restructurings, etc.).

  • Liaise with foreign outside counsel and third-party entity compliance vendors related to entity compliance matters.

  • Prepare board and shareholder meeting materials, including board and committee meeting agendas, "board books" via third-party platforms such as BoardVantage or Diligent and director and officer questionnaires.

  • Respond to, and prepare documents for, "Know Your "Customer" requests related to Circana's banking relationships and entity compliance matters.

  • Prepare, build and manage virtual data rooms for strategic projects (e.g., merger and acquisition transactions, capital markets transactions, regulatory processes, etc.).

  • Perform some administrative responsibilities from time-to-time (e.g., drafting cover letters, assisting with invoice payment, preparing Federal Express labels, preparing signature packages, scheduling meetings, etc.).


Requirements



  • At least 5 years paralegal experience either at a law firm or in a corporate environment, preferably with experience with entity compliance and/or working with public company executives and boards.

  • Bachelor's Degree required.

  • Exceptional attention to detail and organizational skills.

  • Exemplary interpersonal skills to communicate effectively with senior business leaders. Must be a team player.

  • Capable of working with a high degree of independence; limited oversight required.

  • Takes initiative and ownership.

  • A self-starter with a sense of urgency, ability to prioritize and quickly pivot, handle unanticipated situations effectively and work well under pressure in a dynamic and demanding environment.

  • Excellent oral and written communication skills.

  • Embraces continuous improvement and curiosity.

  • Have a track record of positive collaborative experiences with the ability to manage projects comfortably and effectively with multiple stakeholders.

  • Experience with international entities preferred.

  • Ability to handle confidential and sensitive legal matters.

  • Potential for limited domestic travel (no more frequently than quarterly).

This position can be located in the following area(s): Remote - US.


The below range reflects the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range. This range may be modified in the future. An employee's position within the salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs.


The salary range for this role is $105,000.00 to $135,000.00.


This job is also eligible for bonus pay.
