The Corporate Paralegal and Chief of Staff supports the General Counsel and the legal leadership team by combining expert paralegal services with high-level operational and strategic management. This dual-function role ensures efficient departmental operations, delivers hands-on corporate legal support, and acts as a trusted advisor and organizational leader within the Legal Department. The position balances paralegal expertise with the administrative and project management responsibilities of a chief of staff.
RESPONSIBILITIES
Strategic Planning and Coordination
Collaborate with the General Counsel to align legal initiatives with organizational goals.
Coordinate the development and implementation of the Legal Department's strategic plan.
Coordinate operational reviews and departmental planning.
Draft, review, and revise legal documents, such as NDAs, commercial contracts, governance-related documentation (bylaws, agendas, consents, resolutions, presentations, etc.), and corporate policies and procedures.
Support corporate governance activities, such as board and committee meeting planning and preparations and entity management.
Assist in M&A activities, such as due diligence and related project management tasks as needed.
Conduct legal research, support compliance initiatives, and manage corporate records as needed.
Maintain legal and board related databases and systems (e.g., Board Vantage, Diligent Board, etc.) as needed.
Develop dashboards and metrics for performance tracking across the Legal Department.
Streamline legal processes, incorporating technology and best practices to enhance efficiency.
Act as a liaison between the General Counsel, internal teams, and external stakeholders (such as outside counsel, third party legal providers, etc.).
Facilitate departmental meetings, ensuring alignment and follow-up on critical actions.
Provide administrative oversight, including scheduling and travel arrangements.
Manage high-impact projects, ensuring alignment with departmental and company objectives.

Qualifications:
Certified paralegal required. Bachelor's degree in Business Administration, Law, or a related field, preferred
10+ years of experience within a legal or corporate legal environment working with executives and boards of directors.
Proven experience managing complex projects and cross-functional teams.
Demonstrated ability to translate strategy into actionable plans.
Strong organizational and time management skills, with the ability to prioritize effectively.
Exceptional interpersonal and communication skills, capable of building relationships with diverse stakeholders.
High proficiency with Microsoft Office Suite and project management tools.
Strong analytical and problem-solving skills with a focus on continuous improvement.
Familiarity with legal operations, corporate governance matters, and risk assessment is a plus.
