The Contracts Manager will play a critical role in overseeing the drafting, negotiation, review, and management of contracts within the Legal Department. This position requires a detail-oriented professional with strong legal knowledge, excellent communication skills, a collaborative style and the ability to manage multiple contracts simultaneously. The Contracts Manager will ensure that all contracts comply with company policies, legal requirements, and industry standards while minimizing risk and protecting the organization’s interests.
Key Responsibilities:
1. Contract Drafting and Review:
- Draft, review, and negotiate a wide range of contracts, including but not limited to vendor agreements, client service contracts, non-disclosure agreements (NDAs) and licensing agreements.
- Ensure contracts align with company policies, legal standards, and business objectives.
2. Contract Management:
- Maintain a centralized contract repository and ensure all contracts are properly filed, tracked, and accessible. Experience with Ironclad CLM a plus.
- Monitor contract deadlines, renewals, and compliance obligations.
- Implement and improve contract management processes and tools.
3. Risk Management:
- Identify and mitigate potential risks in contract terms and conditions.
- Advise internal stakeholders on contractual risks and obligations.
- Ensure compliance with applicable laws, regulations, and industry standards.
4. Stakeholder Collaboration:
- Work closely with internal departments (e.g., Sales, Finance, IT and Operations) to understand their contract needs and provide legal support.
- Act as a liaison between the Legal Department and external parties during contract negotiations.
5. Policy Development:
- Assist in developing and updating contract templates, policies, and procedures to improve efficiency and reduce risk.
- Train and educate employees on contract-related processes and best practices.
6. Dispute Resolution:
- Assist in resolving contract disputes and claims in collaboration with the Legal Department and external counsel, if necessary.
7. Reporting:
- Prepare regular reports on contract status, key metrics, and potential issues for senior management and executive team.
Qualifications:
Education:
Bachelor’s degree in Law, Business Administration, or a related field.
Paralegal certification or equivalent experience may be considered.
Experience:
Minimum of 5 years of experience in contract management, legal support, or a related role.
Proven experience drafting, reviewing, and negotiating complex contracts.
Experience in healthcare is a plus.
Skills:
Strong understanding of contract law and legal terminology.
Excellent negotiation, communication, and interpersonal skills.
High attention to detail and organizational skills.
Proficiency in contract management software and Microsoft Office Suite.
Ability to work independently and manage multiple priorities in a fast-paced environment.
Certifications (Preferred):
Certified Commercial Contracts Manager (CCCM) or equivalent certification is a plus.
