Main Responsibilities: Work on-site as the leader of the Absolics Legal Department providing general corporate and commercial legal services to assist in achieving business goals while minimizing undue risk. Provide creative and cost-effective support and advice to in-house clients in multiple contexts, including but not limited to operations, facilities, EHS, supply chain, finance, governance, and human resources. Day to day scope of work varies greatly, from drafting and updating corporate policies to negotiating commercial contract. Scope of work also includes occasional dispute resolution, internal investigations and other legal & compliance matters.
Duties & Responsibilities:
Draft, review, and negotiate customer and vendor contracts, including purchase and sale agreements, service agreements, license agreements, and lease agreements;
Manage and resolve disputes and investigations, including disputes with commercial parties, government investigations, labor arbitrations and litigation;
Assist with special corporate projects, including financing and M&A;
Assist with corporate governance matters, including the preparation of board resolutions and policies as well as advising on governance agreements;
Implement, monitor, and enhance ethics and compliance programs with the goal of enabling and driving compliant ethical business conduct in various compliance areas (e.g. EHS, labor, privacy laws);
Interface with and manage local outside counsel;
Perform legal analysis/research and recommend appropriate strategies to senior management;
Liaise with stakeholders legal counsels as needed;
Minimum Requirements:
J.D. degree (or an equivalent degree) and membership in at least one U.S. state bar
5+ years of legal experience
Working level proficiency in Korean
Preferred Requirements:
Experience in providing legal advice at or for manufacturing companies
Experience leading negotiations with business partners and coordinating external legal counsels across complex and multifaceted legal issues
