Associate General Counsel - Corporate Securities & Finance Attorney
Location: 220 Virginia Avenue, Indianapolis, IN 46204. Candidates must reside within 50 miles or 1-hour commute each way of a relevant Elevance Health location
The Associate General Counsel is responsible for providing legal advice and recommendations for initiatives and projects developed in response to clients' overall objectives and needs. Focus of work is on large scale and/or high financial level projects with broad department and/or organizational impact and moderate level of risk. Works as a strategic partner and decision maker with more senior leaders and manages work independently.
How you will make an impact:
Applies knowledge of one or more legal specialties with sound business acumen and knowledge of the business goals and objectives as they relate to the legal matter at hand.
Determines methods and procedures on new assignments and may coordinate legal projects.
Contributes to overall results of an SBU or CEE unit and/or department.
Uses professional legal concepts and principles to contribute to development of company's concepts and principles.
May possess deep technical knowledge or broader scope of knowledge.
Provides instructions to junior members of the department and concise, timely briefings to senior level business and legal management.
Reports to management any identified business exposure and associated risks as well as mitigation techniques being utilized.
Advises on compliance with securities law, including reporting and disclosure requirements; assist with the preparation of Forms 10-K and 10-Q, and prepare Forms 8-K and 13-H.
Compliance with public company listing standards, including NYSE governance and filing requirements.
Assists with quarterly earnings press release materials and meetings, as well as other investor events.
Legal lead for Corporate Finance matters, including bond offerings, credit facilities, commercial paper program, corporate guarantees and share repurchases.
Legal lead for investment transactions, including alternative investments and tax credit agreements.
Legal lead for derivative transactions, including ISDA matters.
Assists with shareholder services matters.
Oversees the Company's Insider Trading Policy and Section 16 report filings.
Provides general and detailed instructions for paralegals in the department and concise, timely briefings to senior level business and legal management.
Confers with other senior leaders in Legal, Finance, Treasury, Investor Relations and Tax.
Assesses and mitigates risk on even the most difficult and challenging issues.
Minimum Requirements:
Requires a JD, current license to practice law, and a minimum of 9 years of specific industry and/or technical legal experience post licensure; or any combination of education and experience, which would provide an equivalent background.
