Job Summary:
The General Counsel is responsible for the legal affairs of the entire corporation and will serve as the primary contact for all legal matters within Bankers Trust. In this capacity, the General Counsel provides legal services to all business units of Bankers Trust and will lead a staff of legal professionals that provide enterprise-wide legal guidance and accountability through training and consultation. The General Counsel further serves as Bankers Trust’s Board Secretary.
Primary Functions and/or Responsibilities:
Oversees the provision of legal services for all business units of the Bank, including but not limited to reviewing, negotiating and drafting legal documents and contracts
Conduct legal research and advise Bankers Trust business units on all legal matters relating to the Bank's business units, including the timely communication of changes to or the enactment of new regulations
Acts as liaison and coordinator for all legal work performed by outside law firms on behalf of the Bank and manages cost effectiveness of outside counsel
Serves as a member of the Bank’s Enterprise Risk Management Committee
Manages and directs all legal activity involving the Bank and creates a summary report on a regular basis for Senior Management and Board of Directors
Manages and oversee the corporate formalities for the Bank and its subsidiaries, including annual filings, adherence to governing instruments, and statutory and regulatory requirements
Serves as the Corporate Secretary for Bank, takes minutes at Board meetings, and circulates draft agenda for pending Board meetings
Manages and oversees intellectual property issues for the Bank, ensuring all protected marks are properly preserved
Oversees, mentors and coaches the provision of legal services by internal legal team
Performs other duties as assigned
Education and/or Experience:
Juris Doctorate or equivalent required
Admitted to the Iowa Bar or member of another state bar and eligible for admission in Iowa
At least eight to ten years of legal practice, preferably substantial experience in mid-to larger size private practice or in-house experience in a public company

Investigative and legal research proficiency
Strong initiative as well as excellent management, teamwork, delegation, and problem-solving skills
Knowledge/experience in legal representation in areas relevant to the assigned business functions
