Job Summary
Collaborating with fellow attorneys, you will ensure legal compliance with all governing agencies at the local, state, and federal levels. This role involves day-to-day contract management, including reviewing contracts and non-disclosure agreements, managing Quext sales contracts, assessing risk, and performing other duties as directed by the Corporate Chief Legal and Compliance Officer.

Responsibilities
As Corporate Counsel, you will serve as the primary legal advisor across all areas of Quext's operations. You will help navigate the complex intersection of technology, real estate, and data privacy, providing strategic legal guidance to support our growth, protect our assets, and maintain compliance. This position will partner closely with leadership, product, and operations teams.

Primary responsibilities include:
Contract Management: Draft, review, and negotiate a broad range of agreements including SaaS contracts, NDAs, partnership agreements, vendor contracts, licensing agreements, etc.

Corporate Governance: Support board governance, maintain corporate records, and assist with entity formation and compliance across business units.
Regulatory Compliance: Monitor and ensure compliance with applicable laws and regulations (e.g., privacy laws, consumer protection, AI/data regulations).
Risk Management: Identify and mitigate legal and business risks in product development, operations, and marketing initiatives.
Cross-functional Collaboration: Serve as a thought partner to senior leadership, contributing legal insight to strategic business decisions


Secondary responsibilities (areas with overlap or oversight with other members of the legal team) include:

Intellectual Property: Support IP strategy, including patent, trademark, and copyright filings and enforcement.
Employment Law: Advise HR on employment matters such as offer letters, independent contractor agreements, and internal policies.
Fundraising & Investor Relations Support: Assist with legal needs related to equity raises, investor disclosures, and cap table management.
External Counsel Management: Oversee engagement with outside counsel to ensure efficiency and alignment with company priorities.


Qualifications

Juris Doctor (JD) degree from an accredited law school is required.
Active license to practice law in Texas / relevant jurisdiction is preferred.
At least 3 years of law practice experience is required.


Competencies

Desire to work in a fast moving, forward leaning, and modern technology environment.
Excellent written and verbal communication skills; able to explain complex legal topics clearly and concisely.
Proficiency in drafting, editing, and reviewing various legal documents, including complex contracts. Preferable to have familiarity with SaaS business models, software licensing, and emerging tech (especially AI and data-driven platforms).
Demonstrate strong subject matter expertise and sound judgement when analyzing situations / business claims; ability to balance legal risk with practical business outcomes; startup-minded.
Strong negotiation skills to effectively represent the company in various legal and business transactions.
Ability to work well under minimal supervision and apply legal knowledge to support company objectives.
Ability to manage multiple legal projects and priorities in a fast-paced environment.
Calmness and clarity of thought under pressure and ability to maintain confidentiality.
Strong ability to analyze legal issues and develop effective solutions.
Collaborative manner to effectively assess risk while maintaining business relationships.
