Major, Lindsey & Africa's Interim Legal Talent group is seeking, on behalf of our corporate client, to identify a USA Head of Legal.

Location: Hybrid - Houston TX
Responsibilities:
Compliance: Oversee all legal aspects of the company's operations in the USA, ensuring compliance with federal, state, and local laws.
Commercial and EPC Agreements: Provide legal advice and guidance in relation to the development and negotiation of key commercial agreements, including agreements relating to EPC, offtake, feedstock supply, power, carbon capture & sequestration, and logistics matters.
Project Finance: Provide business-minded, proactive, and solution-oriented legal guidance and advice on project finance transactions, including structuring, negotiation, and documentation.
Risk Management: Manage and mitigate legal risks associated with innovative and complex projects. Identify and mitigate legal risks within the project agreements and interfaces, including insurance.
Contract Management: Draft, review, and negotiate contracts, agreements, and other legal documents.
Collaboration: Effectively collaborate with external legal advisors as needed and manage the allocated budget for external legal spend.
Corporate Structure: Set up the corporate structure in an optimized and timely way to mitigate risks and ensure financiability.
Reporting: Ensure up-to-date, timely alignment and reporting of relevant matters on an ongoing basis.
Qualifications:
Juris Doctor (JD) degree from an accredited law school and admission to the bar in at least one US state.
Minimum of 12 years of legal experience, with significant experience in commercial project structuring and project finance.
Proven track record in handling complex legal and commercial FOAK projects.
Good understanding of US tax incentives and subsidies in the context of project financing.
Experience in both law firms and in-house roles preferred.
Excellent written and verbal communications skills, with outstanding drafting skills
Comfortable working in international environment with ambiguity and constant change
Self-starter and able to work effectively with little supervision, and to step down as well as up
Excellent interpersonal and collaborative team-building skills.
